"User" or "You" refers to any individual or entity accessing our website or engaging our services. "Agreement" refers to the engagement letter or service contract entered into between You and Krung Pact for specific services. "Website" refers to the website located at https://krungpacts.

2. Acceptance of Terms

By accessing or using our website, or by engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.

3. Description of Services

Krung Pact provides legal services in the following areas: power of attorney and notarial services, real estate transaction advisory, and corporate governance and regulatory compliance programs. The specific scope, timeline, deliverables, and fees for each engagement are set out in a written engagement letter or service agreement provided before work begins.

Our services are provided under Thai law and are available to individuals and businesses operating within or in relation to the Kingdom of Thailand. Certain services may be subject to availability and scheduling constraints.

4. User Responsibilities

When engaging our services, you agree to provide accurate and complete information as requested, to respond to reasonable requests for documentation or information in a timely manner, to attend scheduled appointments and signings as required, not to use our services for any unlawful purpose, and not to misrepresent your identity or the nature of your legal matter.

When using our website, you agree not to attempt to interfere with the website's operation, not to scrape, harvest, or collect data from the website without permission, and not to upload or transmit any harmful code or material.

5. Intellectual Property

All content on our website — including text, images, design, logos, and code — is the property of Krung Pact or its licensors and is protected by Thai and international intellectual property laws. You may view and print pages from the website for personal, non-commercial use, but you may not reproduce, distribute, modify, or create derivative works from our content without written permission.

Documents prepared specifically for your engagement (such as powers of attorney, contracts, or governance handbooks) become your property upon completion of the engagement and payment of applicable fees.

6. Fees and Payment

Fees for our services are set out in the engagement letter provided before work begins. Unless otherwise stated, all fees are quoted in Thai Baht (THB). Payment terms are specified in the engagement letter and may include advance payment for certain services. We accept payment by bank transfer to our designated account.

If additional work beyond the agreed scope becomes necessary during an engagement, we will notify you in advance and obtain your written agreement before any additional fees are incurred.

Refund requests are considered on a case-by-case basis. For services where work has already been substantially performed, fees may not be refundable in full. The specifics of any refund arrangement will be addressed in the engagement letter.

7. Service-Specific Terms

For notarial services, certain documents require your physical presence for signing before a notarial officer. We will advise you in advance which steps require in-person attendance. Documents prepared for international use may require additional legalization steps that extend the standard timeline.

For real estate advisory, our service covers the legal dimensions of property transactions. We do not provide property valuation, structural inspection, or financial advice. Title verification is based on publicly available records at the time of the search, and we cannot be held responsible for inaccuracies in those records.

For corporate governance programs, the deliverables include a governance handbook tailored to your corporate structure. Implementation of the recommendations in the handbook remains the responsibility of your management team and board.

8. Disclaimers

Our services are provided on the basis of applicable Thai law and our professional judgment. While we exercise reasonable care and skill, we do not warrant any specific legal outcome. Legal results depend on facts, circumstances, and the decisions of courts, government offices, or other parties beyond our control.

The information on our website is provided for general informational purposes and does not constitute legal advice. You should not act on any information from our website without seeking specific professional counsel.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Krung Pact's total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

We shall not be liable for indirect, consequential, incidental, or punitive damages, loss of profits or business opportunities, delays caused by government offices or third parties, or events beyond our reasonable control, including natural disasters, government actions, or public health emergencies.

10. Indemnification

You agree to indemnify and hold Krung Pact harmless from any claims, liabilities, damages, or expenses arising from your provision of inaccurate or misleading information, your use of our services for any unlawful purpose, or your breach of these Terms and Conditions.

11. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except where required to deliver the services you have engaged (for example, filing documents with government offices), where required by law or court order, or where you have given your written consent. Our confidentiality obligations survive the termination of our engagement.

12. Termination

Either party may terminate an engagement by providing written notice to the other party. Upon termination, you remain responsible for fees incurred for work already performed up to the date of termination. We will return any client documents and provide a summary of work completed.

We reserve the right to terminate an engagement if a conflict of interest is identified that cannot be resolved, if you fail to provide information or cooperation required for us to perform the work, or if you request that we act in a manner that would breach professional or legal obligations.

13. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from these terms or our services shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within thirty days, it may be submitted to the Thai Arbitration Institute for resolution under its arbitration rules. The seat of arbitration shall be Bangkok, Thailand, and the language of arbitration shall be English or Thai, as agreed by the parties.

14. General Provisions

These Terms and Conditions, together with the applicable engagement letter, constitute the entire agreement between you and Krung Pact regarding the services described. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any provision does not constitute a waiver of our right to do so in the future. These terms may not be assigned by you without our written consent.
